By accessing and using PartHive, you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our service.

2. Description of Service

PartHive provides a web-based and mobile component inventory management system that allows users to organize, track, and manage electronic components. The service is provided "as is" and "as available."

3. User Accounts

3.1 Registration

You must create an account to use PartHive. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use.

3.3 Age Requirement

You must be at least 13 years old to use PartHive. By using the service, you represent that you meet this age requirement.

4. Subscription Plans

4.1 Free Tier

Our free tier provides limited features as specified on our pricing page. We reserve the right to modify free tier limitations with reasonable notice.

4.2 Premium Subscriptions

Premium subscriptions are billed monthly ($9.99/month) or annually ($99.99/year) in advance. Subscriptions automatically renew unless canceled before the renewal date.

4.3 Payment

All payments are processed securely through Stripe. You authorize us to charge your payment method for subscription fees and any applicable taxes.

4.4 Refunds

We offer a 30-day money-back guarantee for first-time subscribers. Contact us within 30 days of your initial payment for a full refund. Subscription renewals are non-refundable.

4.5 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to premium features until that date.

5. User Content and Data

5.1 Your Data

You retain all rights to the data you enter into PartHive. You grant us a limited license to store, process, and display your data solely to provide the service.

5.2 Data Responsibility

You are solely responsible for your data and for maintaining backups. While we implement security measures, we recommend regularly exporting your data.

5.3 Prohibited Content

You agree not to use PartHive to store or transmit:

• Illegal, harmful, or offensive content
• Malicious code or viruses
• Content that infringes intellectual property rights
• Personal data of others without authorization

6. Acceptable Use

You agree not to:

• Violate any applicable laws or regulations
• Interfere with or disrupt the service
• Attempt to gain unauthorized access to our systems
• Use the service for any commercial purpose other than managing your own inventory
• Reverse engineer or attempt to extract source code
• Use automated tools to access the service (except as explicitly permitted)
• Resell or redistribute the service

7. Intellectual Property

PartHive, including its design, features, and functionality, is owned by partHive and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works without our express written permission.

8. Service Availability

We strive to provide reliable service but do not guarantee uninterrupted or error-free operation. We reserve the right to modify, suspend, or discontinue any part of the service with reasonable notice.

9. Disclaimer of Warranties

PARTHIVE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. PARTHIVE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARTHIVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless partHive from any claims, damages, losses, liabilities, and expenses arising from your use of the service or violation of these terms.

12. Termination

partHive reserves the right to suspend or terminate your account for violations of these terms or for any other reason, with or without notice. Upon termination, your right to use the service ceases immediately.

13. Data Upon Termination

Upon account termination (by you or us), we will retain your data for 30 days to allow for reactivation or data export. After 30 days, all data is permanently deleted.

14. Modifications to Terms

partHive may modify these terms at any time. We will notify you of significant changes via email or through the service. Continued use of PartHive after changes constitutes acceptance of the modified terms.

15. Governing Law

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in such courts.

16. Dispute Resolution and Arbitration

Any dispute arising from these terms or your use of PartHive shall first be attempted to be resolved through informal negotiation. If unresolved within 30 days, either party may initiate binding arbitration through the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

• Arbitration shall be conducted in Delaware, United States
• The arbitrator's decision shall be final and binding
• Each party bears its own costs; arbitration fees are split equally
• You may opt out of arbitration by notifying us in writing within 30 days of account creation

Class Action Waiver: You agree to resolve disputes individually and waive the right to participate in class actions or class-wide arbitration.

17. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

These terms, together with our Privacy Policy, constitute the entire agreement between you and partHive regarding the use of our service.
